The Proxy Circular (also Information Circular or Proxy Statement) is published annually ahead of the AGM. It includes: director nominees with track records, executive compensation, insider holdings, major shareholder positions, board committee composition, ESG disclosures, special resolutions (e.g. stock-option plans, M&A approval). For Mineralis, proxy circulars are the main source for the Management sub-score: CEO tenure, insider-holding percentage, board-independence ratio.
